1. Introduction
These Terms & Conditions (“Terms”) govern your use of quray.music and any purchase or pre-order placed with QURAY TECHNOLOGIES LIMITED.
“Quray”, “we”, “us”, and “our” refer to QURAY TECHNOLOGIES LIMITED.
“You” and “customer” refer to the individual or organisation using our website or purchasing a product from us.
By placing an order, you confirm that:
  • you have read and accepted these Terms;
  • you have read and accepted our Shipping Policy and Refund Policy;
  • the information you provide is accurate and complete;
  • you are at least 18 years old or otherwise legally able to enter into the purchase;
  • you have authority to place the order if purchasing on behalf of an organisation.
The following documents form part of the agreement between you and us:
  • these Terms & Conditions;
  • our Shipping Policy;
  • our Refund Policy;
  • the relevant product or order page;
  • the order confirmation sent to you.
The product price, included items, and estimated dispatch period applicable to your purchase are those displayed when you place the order and confirmed in your order confirmation.

3. Quray
Quray is a performative spatial instrument that is played through hand movements in the air.
The space above the instrument becomes a playing surface. Quray converts movement into control signals for use with compatible musical equipment, modular systems, computers, and audiovisual software through supported MIDI and CV connections.
Quray does not independently generate sound, video, or stage lighting unless explicitly stated in the relevant product description.
The items included with your product are those displayed on the relevant order page when you place the order and confirmed in your order confirmation.

4. Product Development and Minor Changes
Quray is an actively developed hardware and software product.
We may make minor technical, manufacturing, component, software, or design changes before production or dispatch where those changes:
  • do not materially reduce the product’s advertised core functionality;
  • do not materially reduce the quality of the product;
  • do not materially change the intended use of the product;
  • are reasonably required for manufacturing, reliability, safety, compatibility, or regulatory compliance.
If we make a material change that significantly affects the product’s core functionality, included items, compatibility, or intended use, we will notify affected customers.
Where a material change occurs before dispatch, affected customers will be given the option to:
  • accept the revised product; or
  • cancel the order and receive a full refund of the Purchase Price.
5. Orders and Order Acceptance
Placing an order constitutes an offer to purchase the product under these Terms.
Your order is accepted when:
  1. your payment has been successfully processed; and
  2. an order confirmation has been displayed or sent to you.
We may reject or cancel an order where:
  • payment cannot be verified;
  • the product is unavailable;
  • we cannot reasonably deliver to the supplied destination;
  • the price or product information contains an obvious error;
  • fraud or unauthorised activity is suspected;
  • accepting the order would breach applicable law or regulation.
If we cancel an accepted order, we will refund the amount you paid to us for the product.

6. Purchase Price and Payment
The “Purchase Price” means the price displayed on the relevant order page or checkout at the time you place the order and confirmed in your order confirmation.
The Purchase Price applicable to an accepted order will not be changed because we later increase or decrease the price of the product.
Any later price change, discount, promotion, or special offer applies only to orders placed while that price or offer is available. It does not apply retrospectively to an existing order unless we expressly agree otherwise in writing.
The full Purchase Price is charged when the pre-order or order is placed, unless a different payment schedule is clearly displayed before payment.
Unless explicitly stated otherwise before payment, the Purchase Price does not include:
  • shipping;
  • shipping insurance;
  • import duties;
  • customs charges;
  • VAT;
  • GST;
  • sales tax;
  • brokerage fees;
  • other local taxes or charges.
Shipping is calculated separately in accordance with our Shipping Policy and must be paid before dispatch.
Payments are processed through Stripe or another payment provider shown at checkout. We do not store complete payment-card details.
Your bank or payment provider may charge currency-conversion, international transaction, or other fees. These fees are outside our control and are not paid to Quray.

7. Pre-Orders and Estimated Dispatch
Where a product is identified as a pre-order, it is not available for immediate dispatch at the time the order is placed.
The “Estimated Dispatch Period” means the estimated dispatch date or period displayed on the relevant order page at the time you place the order and confirmed in your order confirmation.
The Estimated Dispatch Period is an estimate rather than a guaranteed dispatch or delivery date.
Production and dispatch may be affected by:
  • component availability;
  • manufacturing and quality control;
  • calibration and testing;
  • suppliers;
  • logistics;
  • customs;
  • regulatory requirements;
  • events outside our reasonable control.
We will provide material production updates by email.
If the Estimated Dispatch Period changes significantly, we will contact affected customers and explain the available options under our Refund Policy.

8. Production Start
Production of your individual unit begins when we send a written Production Start Notice to the email address associated with your order.
The Production Start Notice may confirm that:
  • components have been allocated to your order;
  • manufacturing or assembly of your unit has begun;
  • individual production costs have been committed.
Cancellation before and after the Production Start Notice is governed by our Refund Policy.

9. Shipping
Shipping is governed by our Shipping Policy, which forms part of these Terms.
Unless expressly stated otherwise before payment, shipping is not included in the Purchase Price.
Because international shipping costs may not be reasonably calculable when a pre-order is placed, shipping may be quoted separately before dispatch.
The shipping quotation may be based on:
  • the destination country and address;
  • package dimensions and weight;
  • available carriers;
  • service level;
  • insurance;
  • carrier rates in effect at the time of dispatch.
Your order will not be dispatched until the required shipping charge has been paid.

10. Customs and Taxes
You are responsible for any import duties, VAT, GST, sales tax, customs fees, brokerage fees, and other local charges imposed in the destination country.
You are responsible for checking whether the product may legally be imported into and used in your country.
If a package is refused, returned, abandoned, or destroyed because the customer:
  • refuses to pay applicable import charges;
  • provides incorrect information;
  • fails to complete customs procedures;
  • fails to accept or collect the shipment,
any refund may, where permitted by applicable law, be reduced by the direct costs incurred by us.

11. Cancellations, Returns and Refunds
All cancellations, returns, and refunds are governed by our Refund Policy, which forms part of these Terms.
Voluntary pre-order cancellation is normally available before the Production Start Notice is sent.
After the Production Start Notice has been sent, voluntary cancellation due solely to a change of mind may be refused.
This restriction does not limit:
  • mandatory consumer rights;
  • rights relating to defective or misdescribed products;
  • rights arising from a material product change;
  • rights arising from a qualifying material production delay;
  • any other rights that cannot legally be excluded.
12. Limited Manufacturer’s Warranty
Quray includes a 12-month limited manufacturer’s warranty beginning on the date the product is delivered.
The warranty covers manufacturing defects and hardware failures arising during normal use in accordance with the supplied instructions and published operating requirements.
Depending on the nature of a confirmed warranty issue, we may:
  • provide troubleshooting or calibration instructions;
  • provide a software or firmware update;
  • send a replacement component;
  • repair the product;
  • replace the product;
  • provide another remedy required by applicable law.
For confirmed warranty cases, we will arrange or reimburse reasonable necessary shipping costs in accordance with the Refund Policy.
The limited warranty does not cover damage caused by:
  • impact, dropping, crushing, fire, or liquid;
  • improper storage;
  • incorrect voltage, power source, wiring, or connection;
  • unauthorised repairs, disassembly, or modification;
  • incompatible or defective third-party equipment;
  • use outside published operating requirements;
  • normal wear and tear;
  • cosmetic damage occurring after delivery;
  • loss or theft.
This limited warranty is provided in addition to, and does not replace or limit, any mandatory consumer rights available under applicable law.

13. Compatibility and Operating Conditions
You are responsible for checking the compatibility of your:
  • musical equipment;
  • modular system;
  • computer;
  • operating system;
  • software;
  • cables;
  • power source;
  • voltage requirements;
  • intended performance setup.
Quray’s tracking performance may be affected by environmental conditions, including:
  • strong direct sunlight;
  • strong infrared light sources;
  • reflective surfaces;
  • dense smoke or fog;
  • physical obstructions within the tracking area;
  • incorrect positioning;
  • incorrect calibration.
You must follow the supplied setup, calibration, operating, and safety instructions.

14. Configurator and Software
Access to the Quray configurator is included with the product unless the relevant order page expressly states otherwise.
The configurator and related software are licensed for use with Quray and are not sold as separate intellectual property.
We may update the configurator to improve functionality, compatibility, stability, security, and usability.
We do not guarantee that every interface element, feature, or third-party integration will remain unchanged indefinitely.

15. Intellectual Property
All intellectual property relating to Quray remains the property of QURAY TECHNOLOGIES LIMITED or the relevant rights holder.
Purchasing a Quray product does not transfer ownership of any intellectual-property rights.

16. Proper Use and Safety
Quray is a professional electronic musical and performance instrument.
It is not designed for:
  • medical use;
  • emergency use;
  • safety-critical applications;
  • life-support applications.
You must use the product in accordance with the supplied operating and safety instructions.

17. Limitation of Liability
Nothing in these Terms excludes or limits liability where it cannot legally be excluded or limited.
To the maximum extent permitted by applicable law, we are not liable for:
  • indirect or consequential losses;
  • loss of profit or revenue;
  • loss of business or opportunity;
  • loss of data or recordings;
  • cancelled or disrupted performances;
  • problems caused by third-party equipment or software;
  • customs or carrier delays;
  • misuse or unauthorised modification;
  • failure to follow instructions;
  • circumstances outside our reasonable control.
To the maximum extent permitted by law, our total liability relating to an affected product will not exceed the Purchase Price paid for that product.
This limitation does not affect mandatory consumer remedies.

18. Privacy
Our collection and use of personal data are described in our Privacy Policy.
Information may be shared with payment providers, carriers, customs authorities, email services, professional advisers, and other service providers where reasonably necessary to process and fulfil the order.

19. Force Majeure
We are not responsible for delay or failure caused by circumstances outside our reasonable control.
If such circumstances create a material long-term delay, we will contact affected customers and provide the options required by our Refund Policy and applicable law.

20. Changes to These Terms
The version applying to your order is generally the version in effect when the order is placed.
We may update these Terms for future orders.
Later changes will not materially reduce your existing contractual rights unless required by law, required for regulatory or security reasons, or expressly accepted by you.

21. Governing Law
These Terms are governed by the laws of Hong Kong.
For customers acting in the course of business, the courts of Hong Kong have exclusive jurisdiction.
Consumers retain any mandatory rights relating to applicable law and jurisdiction that cannot legally be excluded by these Terms.

22. General Provisions
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.
These Terms, the Shipping Policy, the Refund Policy, the relevant product page, and the order confirmation constitute the agreement between you and us concerning the order.
